General Conditions of Sale

OTM s.r.l. is obliged to refer to its own terms of sale. in fact, due to the high number of customers (over 2000) it is quite impossible to adopt special conditions for each of them.

PRICES / SHIPMENTS

Prices are for goods delivered EX WORKS and they don’t include duties and taxes.

PRICE LIST

Into force shall be deemed always the last price list, cancelling the previous.

ARTICLES CODE

Customers must always mention OTM articles code on their orders.
Where agreed, the correspondence between client code and OTM code will be shown on delivery notes and invoices.

MINIMUM STANDARD / PACK

Order quantity must meet the minimum lot size or multiples thereof.
All OTM products are packed in standard packaging, included in the price.

OFFERS

Offers are valid 60 days, unless otherwise indicated.

ORDERS

Orders must be received by mail, fax or email.
Minimum value for order acceptance: € 150,00 for Italy and € 200,00 for abroad.
For lower values, an additional amount of € 15,00 will be invoiced.

PAYMENT

Payment of the first order IN ADVANCE, payment of subsequent orders to be agreed.
Delayed or missed payments by the customer authorize OTM to suspend or cancel existing orders and to review any current trade agreements.

ALLOWANCES

As OTM endeavors to exactly deliver the quantities ordered by the customer, small deviations are the norm and claims will be accepted only for differences more than 2%. The same minimum percentage is also valid for eventual defected pieces.

MAINTENANCE OF CUSTOMER OWNERSHIP EQUIPMENT

Ordinary maintenance is borne by OTM. The extraordinary maintenance that may be necessary are totally at the Customer's expense and are carried out only after having received a regular order.

LEAD-TIME

It is valid the lead-time as indicated on order confirmations, even if delays or (in exceptional cases) non-deliveries are possible for reasons or mistakes beyond OTM control.
As a guide the delivery terms are:
GOODS IN STOCK -> 10 working days on acceptance of order
UNAVAILABLE GOODS TO BE PREPARED -> to agree.


CUSTOMER'S REQUIREMENTS

Terms of purchase, packaging specifications, quality requirements and other documentation of the customer, will not be considered if not expressly accepted in writing by OTM general management. Goods delivery doesn’t represent any customer’s documents acceptance.

SPECIAL DOCUMENTS

Statements, certifications, database entries and other documentation will be provided only if expressly accepted in writing by OTM general management.

COMPLAINTS

In case of complaints deemed founded highlighted within the terms of the law, we will proceed to replace the goods or to issue a credit note. No claims will be accepted for damages to the goods after leaving OTM factory.

RESPONSIBILITY

OTM will not recognize compensation and/or penalty of any kind, even in case of delayed/missing deliveries and direct and indirect damages, or consequences of any kind whatsoever arising from use of its articles. In particular tests and controls to assess suitability of the use of the delivered samples and goods are on customer's own full responsibility.

DISPUTES

Present terms of sales are subject to the Italian law. For any dispute the jurisdiction will be in Monza.
